Terms of Service — WAV-waysta (Pty) Ltd
(Effective Date: September 26, 2025)
Introduction
These Terms govern your use of products and services from WAV-waysta (Pty) Ltd (“WAV-waysta”, “we”, “our”, “us”), including but not limited to AI-powered chatbots, automated workflows, and website development (“Services”).
By engaging our Services, you (“Client”) agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
Scope of Services
WAV-waysta provides tailored digital solutions, which may include:
Development and integration of AI chatbots and workflow automations.
Design and development of websites and web systems.
Ongoing maintenance, consulting, and optimization.
Specific deliverables, timelines, and pricing will be detailed in a written proposal, quotation, or agreement.
No guarantee of full compatibility with every third-party platform unless stated in writing.
Client Responsibilities
Provide accurate and complete information required for project execution.
Obtain necessary permissions/licenses for materials (text, images, data, etc.).
Use Services for lawful business purposes, complying with all regulations, including POPIA.
Not to resell, sublicense, or redistribute solutions without written consent.
Payments
All payment terms and costs will be communicated and agreed upon before starting.
A deposit may be required.
Unless otherwise stated, invoices are due within 30 calendar days.
Late payments may incur interest as per South African law.
WAV-waysta may suspend/terminate work for overdue accounts.
Intellectual Property
WAV-waysta retains ownership of proprietary frameworks, templates, tools, and code.
Client retains ownership of their content, branding, trademarks, and data provided.
Upon full payment, WAV-waysta grants the Client a non-exclusive, perpetual license to use final deliverables for internal business.
Reuse, resale, or redistribution of WAV-waysta’s code or designs without permission is strictly prohibited.
Data Protection & Privacy
Only minimal client info is collected for communication and delivery (name, company, email, phone).
No access to, storage of, or processing end-user data unless agreed in writing.
No use of client data for AI model training without written Client consent.

Third-Party Services
WAV-waysta may use/integrate third-party systems (Google Cloud, OpenAI APIs, hosting, CRMs).
Cannot guarantee the performance/uptime of external services.
Clients are responsible for their own third-party accounts and licenses unless otherwise agreed.
Limitation of Liability
WAV-waysta is not liable for indirect, incidental, or consequential losses (e.g., loss of revenue, profits, data, or business).
Total liability is limited to fees paid by the Client for the specific project.
Services may depend on third-party systems outside WAV-waysta’s control.
Termination
Either party may terminate the engagement with written notice if the other breaches these Terms and fails to remedy within a reasonable period.
On termination:
Client remains responsible for payment of completed/approved work.
WAV-waysta will deliver all materials up to termination once fees are paid.
Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of South Africa.
Any disputes are under the exclusive jurisdiction of the South African courts.
Amendments to Terms
WAV-waysta may amend/update these Terms at any time.
Updates are effective upon publishing on the website or direct communication to clients.
Continued use constitutes acceptance of revised Terms.
